1. About These Terms

These Provider Terms (“these Terms”) govern the relationship between Lipedema Clinic Limited and any practice, clinic, or individual health professional (each a “provider”, “you”) that claims a listing in the Lipedema Clinic directory at lipedemaclinic.org, creates a listing through our join flow, or purchases a paid subscription for a listing. They apply from the moment you claim or create a listing, whether or not you ever pay us anything.

The directory is operated by Lipedema Clinic Limited (“we”, “us”, “our”), a company registered in New Zealand.

These Terms sit alongside our Terms and Conditions, our Review Policy and our Privacy Policy. On any matter specific to the provider relationship — claiming, subscriptions, billing, and the content you supply — these Terms apply. On any matter concerning reviews, the Review Policy applies.

You enter these Terms in trade, for business purposes. To the extent permitted by law, the parties agree that the consumer protection provisions of the Consumer Guarantees Act 1993 do not apply to services supplied under these Terms, and that it is fair and reasonable that the parties are bound by this clause. Nothing in these Terms excludes rights that cannot lawfully be excluded.


2. Claiming a Listing

2.1 Claiming Is Free

Any provider listed in the directory may claim their listing at no charge, and a provider who is not yet listed may create a listing at no charge. Every claim is reviewed by a person before it is approved.

2.2 Who May Claim

You may claim a listing only if you are the health professional it describes, or you are authorised to act for the practice it describes. By claiming, you warrant that this is true. We may ask for evidence of identity or authority before approving a claim, and we handle that evidence as described in our Privacy Policy.

Claiming a listing that is not yours, or that you are not authorised to act for, is a material breach of these Terms. We will remove a false claim when we find one, and we may suspend every account involved.

2.3 What Claiming Grants

Claiming grants control over the presentation of your listing — the factual and descriptive content we display about you, within the features of your plan. It grants no rights of any kind over the reviews published about you, their ratings, or their visibility. Section 4 sets this out in full.


3. What a Subscription Buys

Paid plans add presentation features to a claimed listing. The current plans, their prices, and the features each includes are set out on our practitioner pricing page, which forms part of these Terms as it stands at the time you subscribe. Features vary by plan and currently include things like a website and booking link, direct contact details, a fuller profile, photo and video content, practice-supplied testimonials, insurance and pricing information, an enquiry form, and performance reporting.

Every paid feature is self-serve: a subscription buys product features, not our staff time or professional services.

We may add, change, or retire individual features over time. If we materially reduce what your plan includes during a period you have already paid for, you may cancel and we will refund the unused portion of that period pro rata.

A free listing is never removed from the directory for not paying. Appearing in the directory, in search results, and in city pages does not depend on any subscription.


4. What No Subscription Buys — Ever

A paid plan buys presentation, never moderation. This section states the limits of every plan we sell, at every price, and it prevails over anything else in these Terms that could be read otherwise:

  • —No plan removes, hides, edits, reorders, softens, or suppresses a review, or changes a star rating or review count.
  • —Payment plays no part in how a reported or disputed review is assessed or decided.
  • —The “Verified by LC” badge cannot be bought at any price and is not part of any plan.
  • —Contesting a review you believe breaches the Review Policy is free at every tier, including the free tier, and always will be.

We say this in our patient-facing policies as well, and we intend it to be contractually binding in both directions: you cannot buy moderation from us, and we cannot sell it to you. If anyone offers to alter your reviews or rating in exchange for payment, they are defrauding you, and we ask that you report it to us.


5. Your Content: Licence to Us

“Provider Content” means everything you supply for display on your listing: text, photographs, video, logos, testimonials, insurance and pricing information, links, and any other material.

You keep ownership of your Provider Content. By supplying it, you grant Lipedema Clinic Limited a non-exclusive, royalty-free, worldwide, sub-licensable licence to host, store, reproduce, display, adapt for formatting, excerpt, and distribute it in connection with the directory and our promotion of it — including in search results, structured data, and previews on other pages of our site or on third-party platforms. This licence lasts while the content remains on your listing, and survives afterwards only to the extent needed for archival copies, backups, and copies already distributed.

We may decline to publish, or may remove, any Provider Content that we reasonably believe breaches section 6, breaches any law, or exposes us or any person to legal risk — including where a regulator or complainant raises a credible compliance concern. We are not obliged to review Provider Content before it is published, and publishing it is not a statement by us that it is accurate or lawful in your market. Provider Content is your content, not a community review: removing it for compliance reasons is not moderation of reviews, and it does not entitle you to a refund.


6. Your Content: Warranties and Responsibility

6.1 You Are Legally Permitted to Publish What You Publish

Health services are regulated differently in every market, and advertising rules for regulated health services differ sharply between them. You know your regulator; we do not practise in your jurisdiction, and we do not check your content against your local rules.

By supplying Provider Content, you warrant that you are legally permitted to publish it, in every jurisdiction in which you practise or advertise, under every law and every professional or regulatory rule that applies to you. This includes, without limitation, rules made or enforced by professional regulators such as the Australian Health Practitioner Regulation Agency (AHPRA) and the National Boards, the medical and health practitioner boards of the US states, the General Medical Council and the Committee of Advertising Practice in the United Kingdom, and the Medical Council of New Zealand — and their equivalents for your profession and your market.

Compliance with the advertising rules that apply to you is your responsibility, not ours. If a feature of your plan would be unlawful for you to use in your market — for example, publishing patient testimonials where your regulator prohibits testimonials in the advertising of regulated health services — you must not use that feature, even though your plan includes it. A plan price is for the plan; it is not adjusted because a rule of your own regulator limits which of its features you may lawfully use.

6.2 Testimonials You Supply

Testimonials supplied by you are displayed separately from community reviews, are labelled as supplied by the practice, and are never mixed with or counted toward community reviews or ratings. For each testimonial you supply, you warrant that:

  • —It is genuine: a real statement by a real, identifiable patient or client, not written, purchased, or materially edited by you
  • —The person who gave it has consented to its publication, including to any personal or health information it reveals about them
  • —Publishing it is lawful in your market under section 6.1, including under any rule restricting or prohibiting testimonials in health advertising

6.3 General Content Warranties

You further warrant that:

  • —You hold the qualifications, registrations, and credentials your listing claims, and they are current
  • —Your Provider Content is accurate and not misleading, including about services, availability, pricing, and insurance acceptance
  • —You own, or hold the rights needed to grant us the licence in section 5 over, every photograph, video, and other work you supply
  • —Your Provider Content does not disclose any patient’s identity or health information without that patient’s consent

You must tell us promptly if any of these warranties stops being true — for example, if your registration is suspended or made subject to conditions that affect what your listing says.

6.4 Indemnity

You indemnify Lipedema Clinic Limited against any loss, damage, cost, or expense (including reasonable legal costs) we suffer arising out of a breach of the warranties in this section 6, including any claim by a regulator, a patient, or any third party concerning Provider Content you supplied.


7. Billing

7.1 Prices and Currency

Prices are stated on the practitioner pricing page in United States dollars and exclude any applicable taxes, which are added where we are required to collect them. You are responsible for any currency conversion fees charged by your bank. We may change prices; a price change takes effect for you at your next renewal, and we will give you at least 30 days’ notice before a price increase applies to your subscription.

7.2 Billing Periods and Renewal

Subscriptions are billed monthly or annually, in advance, and renew automatically at the end of each period until cancelled. Annual billing is charged as ten months for twelve — two months free against the monthly price. We will send a receipt for every charge, and for annual subscriptions we will send a reminder before each renewal.

7.3 The Location Cap Is Computed for You

Pro is priced per professional, with a cap per location: you pay the per-professional price for each Pro professional at a location, or the location price, whichever is less. A subscribed practice listing pays the location price. The cap is applied automatically when your invoice is calculated — it is not a bundle you choose, a code you enter, or a plan you must ask for. If your practice adds a fifth, tenth, or fiftieth Pro professional at one location, your charge for that location does not rise above the location price.

The cap is per location under one account: each practice location you operate is capped separately, and providers who merely share a building under separate accounts are billed separately. Max is priced per provider and is not subject to the location cap.

7.4 Failed Payments

If a renewal payment fails, we will retry it and contact you. Your listing keeps its paid features while we do — a declined card is a billing problem, and we do not strip a clinic’s profile, or a patient’s ability to book through it, over a payment retry. If payment cannot be collected after a reasonable dunning period, the subscription is cancelled and section 8.3 applies.


8. Cancellation, Downgrades, and What Happens After

8.1 Cancelling

You may cancel a subscription at any time from your provider dashboard or by emailing support@lipedemaclinic.org. Cancelling stops the next renewal; your paid features continue until the end of the period you have already paid for. Cancelling is as easy as subscribing — there is no retention call, no wait, and no fee.

8.2 Refunds

Except as stated in these Terms or required by law, fees already paid are not refunded, and cancelling mid-period — including mid-way through a prepaid annual period — does not entitle you to a refund of the remainder. We refund pro rata where section 3 applies (we materially reduced your plan), where section 12 applies (we end these Terms without cause), or where we discontinue the directory.

8.3 After a Subscription Ends

When a subscription ends — by cancellation, non-payment, or downgrade — your listing reverts to a free listing. It stays in the directory, and its reviews and ratings remain exactly as they were: they were never part of what you paid for, so they are not affected by your ceasing to pay. Content tied to paid features (for example photos, video, testimonials, and links) stops being displayed. We retain it for at least 90 days so it can be restored if you resubscribe, after which we may delete it.


9. Suspension and Termination for Cause

We may suspend or terminate your claim, your subscription, or your account, without refund, if you materially breach these Terms. Material breaches include:

  • —Writing, commissioning, or paying for fake reviews — of yourself, or of anyone else
  • —Attempting to manipulate reviews or ratings, including soliciting reviews selectively, offering incentives for reviews, or conditioning care, refunds, or discounts on a review being written, changed, or removed
  • —Harassing, threatening, or attempting to identify a reviewer, or disclosing a patient’s health information in a public response
  • —Misrepresenting your identity, qualifications, registration, or authority to act for a practice
  • —Supplying Provider Content in breach of the warranties in section 6 and failing to remedy the breach promptly when we point it out

For a breach that can be remedied, we will normally tell you first and give you a reasonable period to fix it. For deliberate review manipulation or a false claim, we may act immediately. Termination of a claim or subscription does not remove your listing from the directory, and it never removes the reviews on it.

We may also end these Terms without cause — for example, if we withdraw a plan or close the directory — on at least 90 days’ notice. If we do, we will refund the unused portion of any period you have prepaid, and section 8.3 applies from the date the subscription ends.


10. Placement, and Sponsored Placement If We Offer It

No current plan changes where a listing appears in organic directory results. We may in future offer sponsored placement as a separate paid product. If we do: sponsored slots will always be visibly labelled Sponsored; they will appear as clearly marked placements rather than being disguised as community-ranked results; they will not reorder the organic results themselves; and they will never change a provider’s reviews, star rating, review count, or Verified by LC badge.


11. No Guarantees, and What We Are Not

We do not guarantee that a listing or subscription will produce any particular number of profile views, enquiries, bookings, patients, revenue, or any ranking or prominence in the directory or in search engines. Performance figures we report to you are provided in good faith as measured, without warranty.

The directory is a listing and reviews service. It is not a referral service, and our fees are flat subscription fees for presentation features: no fee we charge is calculated by reference to, or contingent on, any patient, booking, referral, or procedure. We are not a party to, and have no responsibility for, the clinical relationship between you and any patient. You remain solely responsible for the care you provide and for your own professional obligations.


12. Liability

To the maximum extent permitted by law, we are not liable to you for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, goodwill, or business opportunity, arising out of or in connection with these Terms or the directory — including loss you attribute to the content of a review, to a review remaining published after you disputed it, or to the directory being unavailable.

Our total aggregate liability to you under these Terms is capped at the amount you paid us in the 12 months before the event giving rise to the claim, except where a greater liability cannot lawfully be excluded. If we end these Terms other than for your breach, our sole obligation is to refund the unused portion of any prepaid period.


13. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. For material changes we will notify claimed providers by email at least 30 days before the change takes effect, and your continued use of a claimed listing or subscription after that constitutes acceptance. If you do not accept a material change, you may cancel under section 8 and, if the change reduces what your plan includes, section 3’s pro-rata refund applies.


14. General

These Terms, together with the pricing page as at your subscription date, the Terms and Conditions, the Review Policy and the Privacy Policy, are the entire agreement between you and us about the directory. If any provision is unenforceable, it is limited or severed to the minimum extent necessary and the rest remains in force. A failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a sale or restructure of our business, and will notify you if we do.

These Terms are governed by the laws of New Zealand, and the parties submit to the non-exclusive jurisdiction of the New Zealand courts. If a dispute arises, contact us first at support@lipedemaclinic.org and we will try to resolve it informally before anything else.
